Terms of Service

These Terms govern access to and use of the services offered by Bogdan-Cătălin Chiotea PFA trading as Matchquote (“Matchquote”, “we”, “us”). By signing a Statement of Work (“SOW”), subscribing to a productized plan, or using the Services, you (“Customer”) agree to these Terms. A signed SOW, if any, controls over these Terms for conflicts.

1. Definitions

  • Services — the productized AI deliverables and ongoing subscription access described in the applicable SOW or ordering page (e.g. SPV Copilot, Document AI extractor, Voice agent).
  • SOW — a Statement of Work signed by both parties describing scope, fees, timeline, and acceptance criteria.
  • Customer Data — data, documents, and content submitted to the Services by or on behalf of Customer.
  • Pilot — the initial productized engagement, typically 14 days of build plus a 30-day operational trial, as described in the SOW.

2. Services and scope

Matchquote delivers the Services described in the SOW. Deliverables, acceptance criteria, and timelines are documented there. Work outside the SOW is a change request handled in writing.

3. Pilot and trial mechanics

  • The 14-day build timeline refers to a productized pilot scoped per SOW. Actual go-live dates depend on data access, SSO provisioning, and any customer-side dependencies documented in the SOW.
  • Where advertised, a 30-day free operational trial begins on the activation date. No card is required. The trial converts to a paid subscription only if Customer confirms in writing.
  • Pilot outputs are provided for Customer's internal review. Production use of outputs requires human validation for steps that have legal, fiscal, or safety consequences.

4. Subscription, renewal, cancellation

  • Default term: monthly, billed in advance. No annual lock-in unless explicitly agreed in the SOW.
  • Cancellation: Customer may cancel at any time with at least 14 days' notice before the next billing date. No retroactive clawback of setup fees. Customer's exported data is provided on request within 30 days of termination.
  • Our termination rights: we may suspend or terminate on material breach, non-payment after 30 days, or use that violates the acceptable use policy.

5. Fees and payment

  • Fees are set out in the SOW or ordering page. EU customers are invoiced in EUR; Romanian customers may be invoiced in RON at the BNR reference rate.
  • Invoices are due within 15 days of issue. Overdue amounts accrue statutory late-payment interest under EU Directive 2011/7/EU as transposed into Romanian law.
  • Prices are exclusive of VAT. For EU B2B, reverse charge applies subject to valid VAT ID.

6. Acceptable use

Customer will not use the Services to:

  • Process data they do not have the legal right to process;
  • Submit content that is unlawful, infringing, defamatory, or that violates third-party rights;
  • Attempt to reverse-engineer, extract the training weights of, or circumvent the security of the Services or underlying model providers;
  • Use the Services to make solely-automated decisions with legal effect on natural persons without human oversight (see our AI Act posture in the Security Overview).

7. Intellectual property

  • Customer Data and outputs generated from it remain owned by Customer. Matchquote receives a limited licence to process Customer Data solely to deliver the Services, per the DPA.
  • Matchquote IP — the underlying pipelines, templates, prompts, evaluation harnesses, and software stay owned by Matchquote. Customer receives a non-exclusive, non-transferable licence to use them for the term of the agreement.
  • Feedback Customer provides may be used by Matchquote to improve the Services, without obligation.

8. Confidentiality

Each party will protect the other's confidential information with at least the same care it uses for its own, and not less than reasonable care. Obligations survive termination for three years. Customer Data is treated as confidential under the DPA without time limit except as the DPA allows.

9. Data protection

Processing of personal data is governed by the Data Processing Agreement, which is incorporated by reference and takes precedence over these Terms on data-protection matters.

10. Warranties and AI disclaimers

  • We warrant that the Services will be delivered with reasonable skill and care, consistent with industry practice for productized AI.
  • AI outputs are not legal, tax, medical, or financial advice. Draft emails, extracted fields, suggested classifications, and regulatory-response drafts are generated by AI and require human review by a qualified professional before use in any decision that has legal or regulated effect.
  • To the maximum extent permitted by law, the Services are otherwise provided “as is” and we disclaim implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

11. Limitation of liability

To the maximum extent permitted by applicable law, each party's total cumulative liability arising out of or related to these Terms is capped at the fees paid by Customer to Matchquote in the 12 months preceding the event giving rise to the claim. Neither party is liable for indirect, incidental, consequential, special, or punitive damages, or for loss of profit, revenue, or goodwill. Nothing in these Terms limits liability that cannot be limited by law (e.g. gross negligence, wilful misconduct, or personal-data breaches where caps are prohibited).

12. Indemnity

Each party will indemnify the other for third-party claims arising from its own material breach of these Terms, subject to the liability cap above. The indemnified party must give prompt notice and reasonable cooperation.

13. Force majeure

Neither party is liable for delays or failures caused by events beyond its reasonable control (including outages of cloud providers or model providers), provided it gives prompt notice and resumes performance as soon as reasonably practicable.

14. Governing law and disputes

These Terms are governed by the laws of Romania. The courts of Bucharest have exclusive jurisdiction for disputes, except that either party may seek injunctive relief in any competent court. Nothing here deprives a consumer of mandatory protections of their country of residence.

15. Changes to these Terms

We may update these Terms by posting a revised version. Material changes are communicated to active customers by email at least 30 days before they take effect; continued use after that constitutes acceptance.
